Trustees table Homer Community Festival contracts amid concerns over indemnity and insurance

The board considered a Vantage Production Group by Soundworks contract for $17,550 to provide the festival stage, sound system and staffing, and a separate estimate from Blue Peak for $41,382.88. Trustee Fialco described the Vantage proposal as broadly similar to prior years, noting a roughly 7.2% price increase for sound and stage services.
Village Attorney Pasquinelli told trustees the indemnification clauses in the contracts were "overly broad" and could require the village to "pretty much be a strict liability guarantor of anything that happens regarding this equipment." He recommended revising the language and having the village insurer review the certificates of insurance before the contracts are executed.
Trustees debated options including immediate approval with subsequent attorney edits, asking the insurer to review the contract language, or tabling to give the attorney time to redraft neutral indemnity language. A motion to table the Vantage Production Group contract passed in roll call.
Mayor and trustees also discussed standard village procurement practice for events: the village typically requires vendors to name the village as an additional insured on their policy on a primary, noncontributory basis and prefers balanced contractual indemnities that do not shift all liability to the village.
Why it matters: Homerfest is a multi-day community event. The village said it wants vendor contracts finalized in time to secure equipment and personnel, but trustees deferred action to limit legal and financial exposure.
Result: Both the Vantage Production Group contract (sound/stage) and the Blue Peak estimate were tabled for attorney review; trustees directed staff and counsel to review insurance certificates and redraft indemnity language as needed.
