Witnesses and an expert (Colin Cameron) explained that the current statutory framework dates to the 1970s and 1980s and presumes mailed or hand-delivered notices and in-person meetings or hand-delivered proxies. The bill would modernize the statute to reflect contemporary technology such as simultaneous remote electronic means (for example, video conferencing) and to preserve quorum and proxy requirements while adding electronic options.
Committee members asked clarifying questions about proxies and quorums; the sponsor and the expert said a designated proxy remains a disclosure requirement and that a quorum must still be met. The committee voted unanimously (6–0) for a do-pass recommendation.
