Council sends Organogenesis/Organisys draft agreement to budget board after contract concerns; referral approved 4-1

The Smithfield Town Council voted to forward an applicant's draft agreement with Organogenesis/Organisys to the Budget & Financial Review Board for an advisory recommendation and requested additional council review before a final public hearing. The motion passed by a recorded 4–1 vote.
Council members who reviewed the draft said the document needed clearer language on several points, including an extension clause that currently required future councils to "consent to the extension" and unclear tax-payment obligations if the agreement were terminated for nonperformance. Several members also urged that the agreement not be automatically codified to supersede existing ordinances without explicit cross-references and legal review.
The manager's office and the tax assessor participated in drafting changes with the applicant, but multiple council members asked that the Budget & Financial Review Board receive a complete package of financial numbers and contract terms to analyze. Resident Kenneth Souza asked whether the board would have enough financial data to produce a meaningful recommendation; council staff said they would provide materials and ask the applicant to attend the advisory board meeting.
Council members suggested a council workshop before the public hearing to vet remaining legal and financial issues. Town attorney Mr. Savage was present and council staff said the draft remains subject to change at the eventual public hearing.
