The Civil Rights & Judiciary Committee reported Senate Bill 5006 out of committee with a due-pass recommendation on March 19, following a staff briefing and brief member discussion.
Deanna Baker, staff to the committee, described SB 5006 as “updates to Washington Corporations Act” and said there were no amendments. Committee members who spoke praised the work of the Corporate Act Revisions Committee and the Washington State Bar Association in producing the changes. Representative Abel said he expected “largely support” and raised only “very minor, technical questions” about thresholds and committee composition.
Supporters said the updates are part of an annual review and could help attract businesses to Washington. Opponents did not press a substantive challenge during discussion. After a roll call the committee recorded 10 ayes and 3 nays; staff announced that SB 5006 was reported out with a due-pass recommendation.
The bill, as presented to the committee, contains no enacted amendments and was described by staff as conforming to recommendations from the Washington State Bar Association and the Corporate Act Revisions Committee. No additional background or fiscal notes were discussed during the hearing.
The committee recessed for caucus and then returned to complete the vote. The bill will next proceed through the legislative process per normal committee-reporting procedures.
