Board members said recent delays in response from current counsel prompted the RFQ. A motion to post the RFQ and timeline carried; the board chair indicated the RFQ would be posted the next day and that a likely recommendation would return to the board in November.
The board also voted to create a legal-counsel-services subcommittee composed of three trustees — Keith Green, Atlanta Sutton and Jeff Miller — to evaluate respondents and report back with a recommendation for a board vote. The RFQ and subcommittee motions were moved and seconded during the business portion of the meeting and passed with no recorded opposition.
Board policy on conflicts of interest and subcommittee operation was noted during discussion; staff said the RFQ will require respondents to include background on representation and resources so the subcommittee can judge responsiveness and capacity.
