Council approves Agristo development agreement after CFIUS declaration returns no unresolved concerns

The Grand Forks City Council unanimously approved a development agreement with Agristo on Aug. 18 after staff and the company resolved red‑line changes and the company reported a positive outcome from a Committee on Foreign Investment in the United States (CFIUS) declaration. Council members and city attorneys described the remaining changes as non‑substantive and procedural.
City attorney staff summarized the recent edits to the agreement — including additions to the preliminary site plan exhibit, reasonableness standards for city review of development plans, timing fields to be completed by Agristo, contractor liability language and minor citation corrections related to CFIUS review. “If certain things … because of circumstances beyond their control, they needed to extend those dates, we would allow for an extension on a day‑by‑day period,” the city attorney said when describing negotiated language on timing.
City staff told the council Agristo filed a declaration with CFIUS and was notified that the agency “determined there are no unresolved national security concerns,” noting the declaration referenced subsection F of the statute and considered factors such as domestic industry capacity and potential effects on critical infrastructure. City staff also said the CFIUS submission included confidential project details that the city will not receive.
Agristo’s counsel and city negotiators were characterized by staff as cooperative in finalizing the agreement. Changes to letter of credit language and escrow references were described as cleanup to align the agreement and related escrow documents. Councilmember Osowski moved approval and the motion was seconded; a voice vote carried the item unanimously.
Staff said a few non‑substantive items remained — such as specific start and completion dates Agristo must provide — and that those would be finalized in follow‑up paperwork. The council’s action permits Agristo to proceed under the terms of the approved development agreement and continue coordination with the city on required site‑level approvals.
