MTA board re‑elects chair and vice chair, completes annual ethics review

The Nashville MTA board unanimously re‑elected Gail Williams as chair and Ron Thompson as vice chair during the board’s July meeting and completed its required annual ethics and open‑meetings review. Margaret Boone, the board secretary, led the governance portion of the meeting and explained the board's code of ethics, requirements for disclosure of conflicts of interest, and the open‑meetings law. She said the MTA code of ethics was adopted in February 2007 and incorporates model language from state statute and Federal Transit Administration conflict‑of‑interest rules. After taking nominations, Miss Dolphin nominated Gail Williams to continue as chair and Ron Thompson to continue as vice chair; a board member seconded the nominations and the board voted “aye.” Boone summarized examples that require recusal (personal financial gain, close business relationships or prejudice) and explained the procedure for filing and investigating written ethics complaints; she said the ethics officer (the secretary) may investigate or refer the matter for outside review if needed. Boone also reviewed open‑meetings obligations, including what constitutes deliberation and adequate public notice, and advised board members to avoid electronic exchanges that could be construed as deliberation toward decision. She praised staff for the level of agenda detail and encouraged board members to review packet materials in advance. There were no contests in the officer election and no ethics complaints or sanctions were raised during the review. The election and ethics review were recorded as part of the meeting minutes.
