CVTA staff presented a redlined draft of a streamlined standard project agreement (SPA) that would replace a lengthier template currently used for VDOT‑administered CVTA regional projects. Chet said legal counsel has been working with VDOT and locality counsel to “streamline the current CBTA VDOT SPA into something that better reflects the CBTA locality SPA.”
VDOT and local representatives emphasized two points they wanted clarified in the redlines: (1) the intended sequencing of funding sources and (2) explicit checkpoints during project development to ensure localities remain engaged. Mark noted that some redlines appeared to indicate a prescriptive order for spending — for example, choosing CBTA money before state or federal funds — and warned that an inflexible ordering could delay projects rather than speed them: “If we were to spend state and federal money first on that, we would be delaying that project. But the inclusion of early CBTA money allows us to get that project started faster.”
Several TAC members agreed language should be adjusted so the agreement supports the most efficient project advancement rather than requiring a single spending order. Amy and Joanna (Dorona) both said the draft lacked explicit language to pull localities into plan review and decision points; they recommended adding process checkpoints. Dorona asked jurisdictions to involve their county attorneys in the review and encouraged written comments in the meeting chat so legal counsel can consolidate edits.
TAC members then volunteered to form a small working group to draft clearer language on decision points and funding sequencing. Volunteers included Barb, Mark, Amy and Chad; Chet agreed to convene the subcommittee and set up an October meeting and to consolidate comments from local attorneys. Chet said he would aim to have consolidated comments back in time to discuss any major concerns at the authority meeting that follows.
No formal action was requested or taken on the draft SPA at this meeting; the item was recorded as an information update and TAC directed staff and locality counsel to provide consolidated written comments for legal review.
