Council approves pulled consent items after clarifications on contract escalator, term typo and bid line items

Smyrna — After pulling several consent items for council review, the Smyrna Town Council approved the individual agreements once staff addressed contract language and documentation questions.

Item G: Council approved the annual agreement with MR Systems LLC for preventative maintenance and repair services at the water treatment plant after staff confirmed the contract includes a potential price escalator effective Jan. 1 and that the town’s standard addendum limits increases (there is a 5% limit noted in the contract) and allows the town to decline if the vendor insists on an increase. A council member raised whether the escalator could apply six months into the term; staff said the vendor has not previously exercised the escalator but it is a contractual possibility.

Item L: Council approved an extension of the annual concrete contract with Rollins Excavating Company LLC. Staff noted a typographical error in the extension wording that spelled out an incorrect number of years; recitals and multiple sections say the extension is for one year (07/01/2025–06/30/2026) and staff pledged to fix inconsistent wording before final execution.

Item M: Council approved an extension agreement for roadway patching with Sessions Paving after discussion about missing bid line items from last year’s contract; a councilmember said the line‑item bid information was not included in the packet and asked to receive it. One councilmember abstained from the vote on item M.

Each item passed by voice vote after staff confirmed the outstanding language and documentation issues would be addressed and provided to council.
