The Woodstock Selectboard reviewed a proposed ambulance-service agreement with Linwood Ambulance Service and directed staff to return an edited draft clarifying monitoring duties, meeting language and insurance requirements.
Board members questioned a clause that says “the fire chief or their designee shall monitor the emergency ambulance service for the town and shall meet with the LWAS on a regular basis,” suggesting the phrase “monitor” and the undefined term “critiques” be removed or clarified. One selectboard member recommended replacing “regular basis” with “quarterly” if the board wanted fixed frequency; others said that frequency could be left flexible. The board also discussed whether the town’s selectboard should be the neutral designee rather than an individual town employee.
Insurance- and contract-reviewer PrimeX requested removing or altering language that would name the town, its officials, agents, employees and volunteers as additional insured on the contractor’s commercial general and automobile policies on a primary, noncontributory basis. The selectboard directed staff to try removing that provision; if the contractor or insurer requires it, the town would consider a $1,000,000 limit tied to employees, agents or contractors under the agreement.
Members also noted that the draft was produced as a mirror of a contract Lincoln had used; they directed staff to replace references to Lincoln with Woodstock throughout and to ensure two separate contracts exist because the insurer and lawyer require separate town contracts. The board asked staff to coordinate final edits with legal counsel and PrimeX, and to bring a revised draft back for approval.
Board discussion included operational clarifications such as training commitments (CPR/AED/basic first aid) and who would attend meetings with Linwood representatives. The meeting transcript shows the board preferred removing dispatching language and refining who may request meetings or critiques of the service. No formal vote to adopt the contract language was taken; the board’s direction was to request edits and return the draft for further review.
