The Council of Trustees approved multiple governance items at its Dec. 4 meeting, including a resolution certifying that affiliated organizations meet Board of Governors policy requirements.
On a separate motion, trustees adopted the campus master plan (see separate coverage). Another resolution certified that the West Chester University Foundation and the West Chester University Alumni Association meet the requirements of Board of Governors policy 1985-4-k by providing necessary contributions or similar benefits on a regular basis, as documented by the affiliated organizations’ certificate of compliance and accompanying materials.
The certification motion was presented during the University Advancement and Internal Affairs report; the mover read the resolution into the record and said supporting materials were in the board guide. A trustee seconded the motion (record shows a second by Sue Schick). The chair announced the motion passed; no roll-call tally was recorded in the transcript.
The certification resolution instructs trustees to accept the documentation that the foundation and alumni association are meeting the Board of Governors’ expectations; it does not appropriate funds or alter the organizations’ governance structures, and no additional conditions were recorded in the meeting minutes.
