The Lake Elmo City Council authorized the purchase of BS&A enterprise financial software and an integrated payments addendum, and authorized the finance director to execute related product and service contracts.
Finance staff said the purchase is an enterprise resource planning (ERP) replacement that touches multiple departments and includes the HR module. Staff reported an upfront implementation cost of a little over $120,000 and estimated annual fees near $45,000. The vendor agreed to a negotiated annual increase of 4% year-over-year for software subscription fees after staff negotiations.
Council members asked about contract liability and indemnification language. Staff and the League of Minnesota Cities’ counsel reviewed terms; staff said BS&A did not accept all proposed changes, and several standard vendor contract clauses (insurance and indemnification) remain in original form. Staff characterized the negotiation as largely successful on pricing and term structure but noted remaining contractual terms were effectively a take-it-or-leave-it stance by the vendor.
Council members said the investment aligns with the city’s recently adopted strategic plan and will support financial management and audit processes; the council approved the purchase by voice vote.
