Board approves audit committee bylaws after committee adoption

The Deschutes County Board of Commissioners approved the audit committee bylaws after staff and the citizen audit committee prepared a draft to clarify procedures not set out in code.
Elizabeth Stape, the county internal auditor, told the board the bylaws largely refer back to county code but add detail on officer roles, subcommittees, meeting procedures and conflict-of-interest guidance. She said the audit committee adopted the bylaws unanimously.
During discussion commissioners asked about the bylaws' member-removal provision, which sets a two-thirds committee threshold for removal of an appointee. Commissioners noted the provision should be reasonable because the committee consists of board appointees and removal by committee vote creates a separation of powers question. Stape said the provision is intended to set a higher threshold than a simple majority.
The board moved and seconded approval of the bylaws and voted to adopt them. The board did not alter the committee's text; staff will implement bylaw processes as described.
