Council members and city staff debated whether the nonprofit is an independent organizer or operating on behalf of the city; solicitors and staff clarified that funds can flow from the nonprofit to the city (not the reverse), and that insurance, indemnification and lease/usage terms need to be defined for events held on city property. The solicitor said the nonprofit had formed recently and had not yet received full 501(c)(3) status.
Council discussed past practice: the city has in prior years fronted part of the band payment for the summer kickoff and fundraising covered remaining costs. Participants said the nonprofit’s goal is long‑term independence for events through fundraising. Concerns raised included liability, who holds contracts with vendors, where event monies are held, and whether the city should be the contractual guarantor for performer deposits.
After extended discussion, council voted to direct the solicitor (Joel) to draft an agreement or proposal that would: (1) clarify contract and insurance responsibilities, (2) set terms for releasing existing summer‑kickoff funds held by the city to the nonprofit if appropriate, and (3) provide options (including a lease of city grounds) to reduce city liability. Multiple councilmembers signaled support for returning with written terms quickly; some members said they needed more information and opposed immediate release of city funds without a written agreement. One councilmember indicated willingness to participate in a phone vote if needed.
No final appropriation or city guarantee of vendor payments was approved at the meeting; the council asked for a written proposal from the solicitor that could be considered at a subsequent meeting or via an expedited vote if needed.
