Board members spent substantial time reviewing language changes proposed by the Rules and Policy committees before the final vote. The board approved a friendly amendment that clarifies student representatives “may vote only for informational purposes,” and retained four specified policies outside the rules document.
Board members and committee chairs said the joint Rules and Policy committee met to confirm that substantive policy language would be preserved in the new rules and to add cross-references where needed. Director Dakotis described the committee’s work as carefully verifying that policy components were included in the rules before deleting the existing policies. Director Welch said many suggested edits strengthened language on ethics and public comment procedures. Legal counsel’s recommended changes on public comment drew particular attention during debate.
Several directors asked for clarity on transition mechanics. The resolution includes language intended to prevent a future board from simply rescinding the resolution to bypass the formal rule-amendment process. Counsel and directors explained that ordinary rescission would be easier than the rules’ two-thirds amendment path, and the resolution therefore specifies that it enters into force at adjournment and contains limits on immediate rescission.
On a related point, directors discussed who would chair an ethics committee if and when that committee is appointed; the board clarified that committee chairs will be named at the time committees are formed. The chairperson also said the student-representative advisers are appointed by the board chair and that the chair currently serves as that adviser.
The board approved the resolution as amended by a recorded voice vote: nine in favor, none opposed. The motion prevailed and Resolution 19 was adopted as amended.
