Trustees approve master services agreement with KLJ for planning and engineering; add clarification to include digital files

The Town of Buena Vista Board of Trustees voted on Jan. 14 to enter a master services agreement with KLJ for engineering and planning services and instructed staff to clarify in the contract that ownership of deliverables includes digital assets and files.

Staff described a multi‑step procurement. The town solicited an RFP in August, received 13 proposals and convened a five‑member review committee composed of town staff and department heads to score submittals and hold interviews. After review the committee recommended KLJ. Staff proposed a master services agreement and a task‑order approach to set clear deliverables, timelines and budgets for individual projects.

A trustee raised a contract‑clarity point about ownership of materials produced under the agreement, asking that the MSA explicitly include digital assets and files so the town retains project documents and underlying data if the town later builds internal capacity. Town legal staff said they would draft contract language to make that explicit and suggested the clarification could be added to the ownership section of the agreement.

Trustees moved, seconded and approved Resolution No. 5, Series 2025 authorizing the master services agreement with KLJ, with the requested modification to clarify that deliverables and work products include digital files. The vote was taken by voice; no roll‑call tally appears in the meeting transcript.

Staff said the resolution carries no immediate budgetary impact beyond future task orders, and that task orders will specify scope, deliverables and estimated costs for individual projects.
