The policy committee reviewed proposed revisions Aug. 27 to Policy 1‑01, which sets out the board’s organization and officer responsibilities, and discussed clarifying the authority of the board president for certain administrative decisions and signature responsibilities.
Staff recommended moving language about delegating duties to board officers from Policy 400 into Policy 1‑01 and changing the evaluation process language so the board president conducts evaluations "with input from board members" rather than suggesting the entire board conducts the evaluations on behalf of the full board. Committee members said that will align practice (the president signs and collates feedback) with policy language.
Members also asked staff to add an exception for advisory panels that are administratively required to operate outside the Maryland Open Meetings Act, citing the ethics panel as an example that does not follow standard open‑meetings procedures. Staff agreed and said they would add a clause: advisory committees comply with the Maryland Open Meetings Act, "except as the law may require," to capture those statutory exceptions.
Board members raised concerns about when the president can act alone on time‑sensitive administrative matters and legal fees, and asked staff to draft clearer, but flexible, language — or administrative norms in the board handbook — that would require prompt notification to the board when the president takes such actions. Staff said they will prepare multiple drafting options for the committee to consider before the October meeting.
