AISD Public Facility Corporation board expands membership to add two community appointees

The Austin Independent School District Public Facility Corporation (PFC) approved restated governance documents on May 22 that expand the PFC board from three members to five, adding two community members chosen by application and appointment.
The vote to adopt the amended governance documents passed unanimously during the PFC’s regular meeting. Secretary Boswell moved to approve the restated governance documents and Trustee Whitley Chu seconded the motion; the motion passed by all those on the dais.
The revised bylaws set the PFC board composition at three elected trustees and two non‑trustee community appointees. Counsel Erin Greathouse told the directors that the two non‑trustee members must be appointed by the district’s governing body: “They must be appointed by the governing body of the ISD. So the Board of Trustees must vote upon and appoint all of those people to the board,” Greathouse said. She added the bylaws do not prescribe a specific nomination procedure and that the district could adopt a PFC policy to set a process.
PFC staff described a planned timeline and selection process: after the application window closes, the three PFC directors (Boswell, Hunter and Gonzalez) will review submissions and meet in early August to recommend two appointees. The full AISD Board of Trustees would then vote on those appointments in September, after which the PFC would convene as a five‑member board.
Directors asked for clarity about whether the selection policy would be a PFC policy or a Board policy; Greathouse confirmed it would be a PFC policy. Directors also asked how the expansion was publicly announced; staff said outreach had been conducted through district communications and partner organizations including the Austin Housing Coalition and the Urban Land Institute.
The PFC also approved its March 24, 2025 meeting minutes by unanimous vote.
The restated governance documents will also be forwarded to the full AISD Board of Trustees for final action as part of the district’s approval steps.
Members of the PFC said they intend to finalize the selection process and policy language before the September trustee vote so candidate solicitation and review can proceed on the published timeline.
