Staff reports six grant contracts in process; committee discusses solicitor review and contract language

Naomi, the committee staff member, told the Holyoke City Community Preservation Committee that six grant contracts arising from the FY cycle are at varying stages of completion.
Two contracts are fully signed and can begin spending: the stained-glass project and a project identified in the meeting as GlowTech (contract name rendered in transcript both as "GlauTech" and "GlowTech"). Two contracts are currently with the city solicitor for review. Two remain with the grantees: one for a tiny house project (pending affordability restriction language and a possible MOU) and one for the Flats Community Building/Port Nairobi project (awaiting a historic-preservation document and grantee input). Naomi said she expects most contracts to be finalized by the next meeting if outstanding reviews and grantee submissions proceed.
Committee members said the city solicitor is taking a more active role this cycle than in prior years. Member Meg urged that the final draft of any contract be returned to either the contract subcommittee or the full committee for final approval before staff uploads documents to the electronic signature platform. Meg and others also requested that two contract provisions be consistently included: (1) a termination clause and (2) a clause stating that approval of any extension beyond 36 months is at the committee's sole discretion, to avoid repeated returns to council.
Naomi said two contracts currently in signed form will be converted to PDF to permit better internal review. She reported that the YMCA and Lawrence School contracts were nearly complete and that solicitors Tashina and Lisa have been responsive and thorough in their reviews. For the tiny-house project Naomi said Alicia (attorney) is reviewing affordability restrictions and considering whether a letter on letterhead or a formal MOU will be required to document ongoing oversight.
Committee members asked the staff to resume a last-step review by the contract subcommittee (or the full committee) prior to final signature to ensure small drafting issues are caught and the committee's standard clauses are included.
