Housing Authority approves amended articles and bylaws for Crucible; documents will be submitted to HUD

Tom Gardner of the Michael Best law firm presented amended and restated articles and bylaws for the Housing Authority’s instrumentality currently known as Crucible and asked the commissioners to approve them on July 9.
Gardner said the draft was aligned with previously approved Trevoux (Trevaux) documents and HUD had already found similar language acceptable in a related instrumentality review; the changes principally make the governance documents consistent across the authority’s instrumentalities and convert Crucible from a membership to a non‑membership structure while preserving HACM’s control.
Gardner advised that, once Commissioners are satisfied with the instrumentality’s final purpose and governance, HACM may record the articles and consider a cooperation agreement between the authority and Crucible to formalize shared staff, space and cost accounting. He said the documents will need to be submitted to HUD for review.
A motion to adopt the amended and restated articles and bylaws passed on a roll call vote with all commissioners present voting Aye (Commissioner Paz Clasen; Commissioner Burrell; Chair Hazlett; Vice Chair Gotsler; Commissioner Moore).
Ending: Staff will submit the approved articles and bylaws to HUD for the agency’s review; the board will revisit any final name or scope changes for Crucible before recording the articles.
