The University of Minnesota Board of Regents voted to approve the March and April draft minutes and the consent report and later adopted a resolution to hold a nonpublic meeting to discuss attorney‑client privileged matters, board minutes show.
During the May 9 meeting Chair Mayeron asked for a motion to approve the minutes and consent report. A motion was made and seconded; the board took a verbal vote and the chair announced the motion was approved. The consent report included routine items such as gift reports and committee reports of the All‑University Honors and naming committees.
Later in the meeting, the board adopted a resolution to hold a nonpublic meeting “to discuss attorney‑client privileged matters,” citing advice of general counsel and Minnesota Statutes sections 13D.1 and 13D.5 as authority. The resolution specified topics to be covered in closed session, including Department of Education and Department of Justice investigations and litigation regarding federal agency actions. The motion to adopt the resolution was moved, seconded and carried by verbal vote.
Committee chairs reported approvals taken on behalf of the board during committee meetings. The Finance and Operations Committee reported unanimous approval of a consent report that included two employment agreements, one purchase of goods and services of $5,000,000 or greater, and two real‑estate transactions. The Mission Fulfillment Committee reported unanimous approval of annual promotion, tenure and continuous appointment recommendations and a consent report that included approvals of new, changed and discontinued academic programs and conferral of tenure for new hires. Other committees provided informational updates or closed‑meeting reports as noted in the docket.
The minutes and committee reports indicate that the board conducted the business reported without recorded roll‑call tallies in the public record; actions were announced verbally and recorded as approved in the meeting record.
