SVCE board forms three‑member ad hoc committee to review operating rules

The Silicon Valley Clean Energy board approved the formation of a three‑member ad hoc committee to review the agency’s operating rules and joint powers agreement and to propose amendments where warranted. The board voted unanimously to form the subcommittee.
Chair Tyson proposed the committee as a periodic governance review given the agency’s growth, turnover among board members and a relatively recent change in executive leadership. He said the effort is intended to be constructive — to ensure the organization’s governance remains durable as the business grows — and not to imply problems with current practice.
The chair proposed that the ad hoc committee include the chair, Vice Chair Klein (City of Sunnyvale) and Director Showalter (City of Mountain View). Board members thanked the chair for initiating the review; staff indicated they will also review operating rules and offer recommendations to the ad hoc committee.
The motion carried on a roll call vote. The ad hoc committee will study governance practices at peer CCAs, prepare proposed changes, and report back to the executive committee and then the full board for consideration.
