Board approves acceptance of state-administered CDBG disaster funds for Village of Oregon project; county attorneys note contract changes and time sensitivity

The Dane County Board approved Resolution 3-74 to accept state-administered Community Development Block Grant (CDBG) disaster recovery funds for a project in the Village of Oregon after staff described three non-budgetary contract-condition revisions and emphasized time sensitivity.

Why it matters: county staff said the changes do not affect the budget, beneficiaries or scope of work but reflect standard contract conditions clarified by Dane County Corporation Counsel and the state attorney. County staff warned that the grant agreement must be signed within a short window or the funds could be lost.

Joanna Cervantes, the county CDBG manager, summarized the three changes: (1) indemnity/ liability language revised so each party is responsible for the consequences of its own acts, errors or omissions, (2) a drafting change replacing the word "state" with "department" in a clause about federal funding liability, and (3) clarification of language to reflect county — not city — governance where the draft had referred to a city council housing committee.

Cervantes said the revisions were made under advisement of Dane County Corporation Counsel and the state legal team and did not alter funding amounts or project scope. She reported that initial contract paperwork had a five-day turnaround expectation and said the state was willing to work with the county if it proceeded promptly.

Deputy Corporation Counsel Galt told the board the meeting and notice complied with open meetings law and that it was lawful to proceed with approval despite last-minute contract revisions; Galt said the county had made the revised contract available in the legislative record before the meeting.

Sponsor Supervisor Wegleitner urged approval to secure federal HUD funds routed through the state, saying the funds were needed in the community and the county should not delay further.

The resolution was recommended for approval by the Health and Human Needs Committee and was adopted by the full board after discussion. Staff noted the grant is administered through the state as HUD CDBG disaster relief funds and that the recipient project is in the Village of Oregon.
