Daggett County commissioners approved a $5,500 purchase request to Herman Global for marketing services and separately approved an advertising contract with Utah.com during their Oct. 27 meeting, but raised questions about the proposed agreements' language and dispute forum before ad content is posted.
Commissioners voted on a purchase request described in the materials as a “custom marketing proposal” from Herman Global that included a sole-source justification. The county chair called for a motion and, after a second, commissioners indicated their approval by voice vote. The Herman Global item was discussed further after the vote because the paperwork reads more like a proposal than a finished contract and references external terms and conditions accessible by link.
The commission also approved an advertising contract with Utah.com after a motion and second and a voice vote in favor. Commissioners and staff discussed a separate placement on ksl.com; staff said the county will supply photographs and written verbiage for that placement rather than Herman Global producing original creative.
During discussion of the Herman Global proposal, staff and commissioners flagged several contract provisions they wanted clarified before finalizing terms. The proposal includes language granting the publisher a limited, nonexclusive, nontransferable license to use the county's supplied content for a temporary period. Commissioners instructed staff to ensure the county only provides images it owns or for which it holds appropriate rights; one speaker noted that sending an unlicensed image could expose the county to substantial fees charged by a third party.
Commissioners also questioned a forum-selection reference in the Herman Global terms. Meeting participants said the agreement repeatedly mentions a “publisher” and a forum for dispute resolution but does not clearly define who the publisher is in the context of the county's placement. Staff agreed to contact Herman Global (and referenced third-party sites such as Visit USAParks and KSL) to confirm whether those references apply to the county's limited placement or to a separate publisher service and to clarify the forum jurisdiction for disputes. Staff said the advertising launch was time sensitive—posting had been expected weeks earlier—but that the county could delay posting until clarifications arrive.
After completing the public portion of the contracting items, the commission voted to enter a closed session for the purpose of discussing the purchase, exchange or lease of real property. A motion and second carried; roll-call confirmations included attendees who verbalized assent and the meeting moved to a closed link. The public portion of the meeting ended at 11:39 a.m.
Next steps recorded in open session included staff reaching out to Herman Global for the missing clarifications about the publisher designation and forum selection, confirming ownership/licensing of photos to be provided to vendors, and returning to the commission if material contract language changes were required.
