The City of Middletown Industrial Development Agency on its January 2025 meeting approved a slate of organizational items including a 2025 mission statement, updated bylaws and policies, appointments to committees, officer appointments and a resolution to publish the agency—s 2025 meeting schedule as required by New York State law.
The actions, taken with little debate during the agency—s annual reorganization, also included approval of minutes from the Nov. 19, 2024 meeting and payment of two bills: City of Middletown, $24.66, and FedEx, $31.22.
Why it matters: The votes set the IDA—s governance framework for the year, naming committee memberships and officers who will oversee finance, audit and governance functions and authorizing publication of the meeting calendar required by state law.
The body reorganized its leadership. David Madden was nominated and accepted the chairmanship; the motion to elect him passed with Madden abstaining from voting for himself. Wayne Hawkins was nominated and approved as vice chairman; the vote record indicates Hawkins did not cast a vote for himself. The board also voted to appoint Maria Bruni as administrative director, Leonor Liz as treasurer and Patricia Racine as secretary.
The board approved a set of governance documents and committee structures forwarded from the Governance Committee. The Governance Committee had previously moved to forward three resolutions to the full board: a resolution to adopt the 2025 mission statement (GC2025-1), a resolution forwarding the 02/2025 bylaws (GC2025-2), and a resolution forwarding the 02/2025 policies (GC2025-3). The full board subsequently approved the mission statement (Resolution 2025-4), the policies (Resolution 2025-5) and the committee and membership structure (Resolution 2025-3 as presented to the board).
The board established three standing committees and named members as described in the agency bylaws: a Finance Committee (including Wayne Hawkins and Andrew Brito among members), an Audit Committee (including Wayne Hawkins) and a Governance Committee (including Wayne Hawkins, Brian Grama and Andrew Brito). The board approved the list of committee members by roll call.
Other formal actions included approval of the agency—s 2025 meeting schedule and authorization to publish it on the City of Middletown website, as required by New York State law. The board approved payment of two routine bills presented at the meeting: $24.66 to the City of Middletown and $31.22 to FedEx.
The meeting concluded with a routine motion to adjourn.
