General counsel updates committee on governance manual revisions, ethics disclosures and consultant evaluations; public commenter raises transparency concerns

General counsel and staff briefed the Board Governance Committee on routine and proposed updates to the board governance manual, ongoing consultant evaluations, enhancements to the board education program and the start of the annual disclosure-filing season.
General counsel said the committee has delegated authority to make ministerial edits between meetings but that such edits are reported back to the committee. Staff recounted recent ministerial changes — for example, modernizing references to wet signatures and clarifying delegation language in the emergency delegation provision — and said a small correction to one section will be returned at the next meeting.
Staff said one investment consultant is currently undergoing a routine performance evaluation that will be reported to the committee when complete. On trustee education, staff described an expanded set of curated readings, video summaries and a prospective trustee mentor program meant to accelerate onboarding.
On disclosures, general counsel said the organization seeks 100% compliance on Form 700 and Form 600 filings and that staff (including the filing officer and procurement staff) actively coordinates with contractors and trustees to secure timely filings. The office reviews filings for potential conflicts and treats the process as substantive, not merely administrative.
A member of the public, Rebecca Wu, used the public comment period to raise concerns about the office of general counsel and the Compensation Review Unit (CRU). She urged external review and criticized past handling of specific cases and audits. Her remarks were entered into the record; staff noted that public comment was received.
The committee accepted the report and asked staff to continue regular updates and to return with suggested governance manual wording for items the committee has discussed elsewhere on the agenda.
