Conroe CIDC board presses for clearer disclosure of hotel backstop and Oscar Johnson debts

At its Jan. 30 meeting, the Conroe Industrial Development Corporation (CIDC) discussed long-term contingent debts linked to the Hyatt hotel backstop and the Oscar Johnson Community Center and asked staff to add clearer footnotes and schedules to the financial statements.
Board members said the obligations are not reflected on the CIDC balance sheet in a way that is easy for readers to find. A director described roughly $145.3 million in related obligations, including a $39,047,560 third-lien hotel backstop and a $40,000,000 obligation tied to the Oscar Johnson Community Center, and urged that those commitments be footnoted and shown on the debt-service schedules.
The request followed the treasurer's presentation of the Dec. 31, 2024 financials. Treasurer Sonia Lewis summarized cash, investments, transfers and year-to-date revenue and expenditures. Board members pressed staff to make the CIDC's long-term transfer obligations and contingent commitments easier to locate in the packet and to show how those commitments flow through transfers out and debt-service schedules.
Why it matters: Board members said the obligations span multiple decades and affect the corporation's long-term fiscal picture and its reporting to rating agencies. One director said the current presentation could obscure the full scale of obligations for incoming volunteer board members and for external reviewers.
Discussion and staff response
Board members and staff discussed two approaches: (1) add footnotes on the balance sheet that list long-term contingent commitments such as the hotel backstop and Oscar Johnson transfer obligations; or (2) add separate schedule pages (for example, tied to the estimate debt-service requirement on page 20 of the packet) that call out each long-term transfer and backstop so a reader can see a multi-year commitment at a glance. Finance staff agreed to add schedules and explanatory notes in future packets to improve transparency.

After discussion the board voted to accept the treasurer's report as presented.
