Board members asked whether the board could define “good cause” or require a fixed notice window for resignations. Administration reported counsel’s view that “good cause” is situational and difficult to define in a bylaw without creating legal exposure. The superintendent’s office said the only formal body that can remove a board member earlier than the normal term is the New Jersey School Ethics Commission or a court process; local policy language would likely be challenged if it attempted to circumvent state processes.
Board members noted that any determination about removal for cause would require legal support and that counsel would ultimately need to weigh in on a contested case, which could carry litigation risk. The board did not change bylaw 0145 at the meeting; trustees asked administration to continue following counsel’s guidance and to bring any recommended language back after further legal review.
