Stuart commissioners ask staff to bundle Main Street agreements, delay vote on Flagler Center lease extension

City Manager Mike Baggett presented Resolution No. 101-2025 on Aug. 5, asking the City Commission to authorize a three-year extension of the triple-net, unsubordinated lease between the City of Stuart and Stuart Main Street Association Inc. for the Flagler Center at 201 Southwest Flagler Avenue.
"This is the second additional extension term," Baggett said, describing the extension as years seven through nine of the lease. He noted a scrivener's error in the original commencement date but said no other contract terms would change; Stuart Main Street had submitted a letter requesting the extension.
Why the commission delayed: Vice Mayor Collins and other commissioners asked that the city bring three separate agreements involving Stuart Main Street(the Flagler Center lease, the Rockin' Riverwalk special-event agreement, and the Green Market RFP/operating agreement) back together so the commission could review the city's overall relationship with Main Street holistically. "I think it should all be a part of that package, for us to consider our relationship with them," the vice mayor said. Baggett said staff could consolidate the items and bring them back in time for budget review.
Concerns about subleases and transparency: Commissioners asked whether the Flagler Center operator had sublets or permitted outside parties to use office space at the Flagler Center. Baggett said the city had an unsigned copy of a sublease and that the lessee's lease requires the lessor's written consent for any assignment or sublease; he noted that the lessee remains liable under the lease even if it sublets space. Mark (staff) and others identified that Sam Yates (named in public records) had used the Flagler Center mailing address and that the space Sam Yates occupies appears to be organized through Culpepper Terpenning rather than as an independently filed lease; staff said they would confirm precise occupancy.
