Council approves court-ordered transfer of Alluvium (Lemonade) cannabis business to Catalyst Antioch LLC

The Antioch City Council on July 8 approved, by a unanimous vote, a court-ordered transfer of the Alluvium (also known as Lemonade) cannabis retail operation to an acquiring entity identified as Catalyst Antioch LLC.
City Attorney staff explained that the Contra Costa Superior Court had placed the business in receivership and later approved the sale of assets to a qualified cannabis operator. The draft resolution that came to council required two edits: the acquiring entity should be identified as Catalyst Antioch LLC (a California limited liability company wholly owned by South Court Holdings LLC), and the transfer should be described as an asset sale rather than a stock transfer. The city attorney recommended approval subject to those two changes so the receiver could complete the court-approved transaction.
Kevin Singer, the court receiver, told the council the selection process aimed to preserve operations and jobs and that Catalyst is an established operator with roughly 30 retail locations. He said a yes vote would protect revenue and employees who largely live in Antioch.
Councilmembers noted that the city’s cannabis subcommittee is reviewing the local ordinance, guidance, and oversight processes for operators. Councilmember Freitas and others asked about local operating conditions (security, ADA access) and whether the buyer would continue arrangements with the city’s cannabis equity partner. City staff said the equity partner associated with the business is Opportunity Junction and that payments to the partner had continued under receivership and are expected to continue under the new operator.
Council approved the transfer 5-0 with the requested clerical revisions; staff will prepare the revised resolution to match the court order and transaction type.
