PVUSD trustees decline to support ASBA bylaw package after extended debate

Several trustees raised legal and procedural concerns about a new provision that would permit removal of an officer or director by a two-thirds vote of the ASBA board referencing a "code of conduct" and "conduct deemed detrimental to the association," without defining the code or explaining the removal hearing process.
Trustees said the provision (identified in the package as a new subsection 9.3) was vague and could be legally challengeable because it does not reference a written code or provide clear due-process timelines or oversight. Several board members urged that ASBA present changes article-by-article rather than as a single omnibus package to allow more thoughtful member review. Others said while parts of the package included positive updates, the board should not support the full package without further clarification.
After discussion the board declined to direct the district secretary to vote to approve the ASBA bylaw changes as presented.
Board members asked staff to pursue clarity from ASBA on definitions, the intended hearing process for removals and the membership vote procedure for future packaged changes.
