On governance and compliance, staff said the association must supply paperwork to the IRS to finalize a pending matter and that work had begun on the organization's 2024 Form 990; staff noted the 2025 990 will also require attention. Members said the association's recent bylaws were written to allow continued support for small-business and downtown-preservation work and noted that the zone that framed prior activities has expired.
During the meeting a nomination for secretary was made and approved by voice vote. Staff said they expect to return with an update on the IRS paperwork, the 990 filing and program proposals at the next meeting.
