Madam Chair of the Marion County School Board Leasing Corporation called to order the corporation’s annual meeting at 5:18 p.m. and the board moved to follow the corporation’s articles of incorporation when determining officer elections and ex officio officer assignments.
Jeremy Powers, attorney for the Leasing Corporation, advised the board that Article 6 of the articles of incorporation designates the school board members as directors of the corporation and, unless the board acts otherwise at the annual meeting, makes the chair and vice chair of the school board the ex officio chair and vice chair of the Leasing Corporation. He said Article 8 similarly states the chair is the ex officio president, the vice chair is the ex officio vice president, and the superintendent is the ex officio secretary-treasurer, and that officer duties are set forth in the corporate bylaws. "According to article 6 of the articles [of incorporation] of the Marion County School Board Leasing Corporation, the members of the school board shall be the directors of the corporation," Powers said.
Following that advice, the chair asked for a motion to follow the procedures set forth in the articles of incorporation regarding election of the chair and vice chair. Lori Conrad moved to approve and Doctor Lisonbee Campbell seconded; the chair called for the vote and the motion was approved by voice vote. The board then voted to follow the articles regarding the ex officio president, ex officio vice president, and ex officio secretary-treasurer. That motion was also moved by Conrad, seconded by Campbell, and carried by voice vote; the transcript records "Aye" responses but does not record a roll-call tally.
With no further business, Nancy Thrower moved to adjourn, Conrad seconded, and the meeting was adjourned at 5:21 p.m.
