Cannabis Compliance Board approves multiple transfers, a consumption lounge and a security interest

CARSON CITY — The Cannabis Compliance Board on Oct. 16 approved a package of license transfers, limited waivers and a conditional consumption-lounge license, and cleared a proposed security interest, actions the board said are intended to stabilize ownership and permit planned business operations while preserving regulatory oversight.

The board unanimously approved a 20-item consent agenda and the Sept. 18 meeting minutes. It then voted to grant conditional licensure for a retail-attached consumption lounge under application ACON-8202-276 for TRNVP098 LLC; the approval is conditional on required local approvals and a final inspection by the CCB’s inspection and audit division.

The board approved multiple transfers of interest (TOIs) and related limited waivers of NCCR 5.11 (each waiver was conditioned to expire on the next TOI agenda date): - TOI 2400054 (YMI Ventures): allowed Opco LLC to sell a partial ownership interest and permitted Lily Enterprises LLC to add David Carter as a 24% member; staff noted prior unapproved transfers that occurred before the CCB’s creation but did not flag a current area of concern. - TOI 2500011 (DEDops NV LLC): approved a 32.5% membership transfer to BDLV Investments LLC and a limited NCCR 5.11 waiver. - TOI 250001213 (Conjurium LLC): approved internal member transfers and the acquisition of dispensary license RD636 from Polaris Wellness Center LLC; CCB staff noted a 2019 unapproved TOI and that Rombau Real Estate owes nearly $1.2 million in unpaid wholesale cannabis tax to the Nevada Department of Taxation, matters the board said would be resolved as Rombau exits the Nevada market if the transfers are approved. - TOIs 2300036–2300039 (GWGA/Dees Holdings): approved transfers of cultivation license CO-24 to UMNV LLC (subsidiary of Dees Holdings) and a limited NCCR 5.11 waiver, with staff and applicants confirming capital to satisfy outstanding obligations. - TOIs 19068–19069B (Nature’s Kindness/Kindables to Mint Nevada LLC): approved the transfer of cultivation and production licenses (C008, P007) to Mint Nevada; Mint has operated related retail licenses under a management services agreement since Oct. 2022 and said the acquisition would provide vertical integration for its Nevada footprint.

The board also approved a proposed security interest for Polaris Wellness Center LLC in favor of SVJ 1 LLC tied to a licensing and rights-of-use agreement. Counsel clarified the security interest covers noncannabis products and provides limited collection authority; it does not grant a security interest in cannabis products or the cannabis establishment license.

All motions were made, seconded and carried during the meeting; no roll-call vote tallies with individual yes/no names were recorded in the transcript beyond the board’s spoken “aye” or “motion carries” announcements.

The board’s staff and applicants described investigations and preopening inspections that led to final licensure notices earlier in the meeting for Vertical Horizon LLC (cultivation/production, West Wendover) and Conjurium 3 LLC (retail, Esmeralda County). CCB staff said required corrective actions or statements of deficiency previously issued had been addressed.

What’s next: Several transfers included temporary waivers that the board limited to expire on the next TOI agenda date; applicants were told to complete local approvals and any outstanding obligations. The board set its next meeting for Nov. 20, 2025.
