The Nevada Gaming Control Board on Dec. 3 recommended approval of a revised order of registration for Aristocrat to permit certain continuous intercompany transfers among newly included subsidiaries and to formalize permanent equity funding for a recent acquisition (AWager Ltd).
Tracy Elkerton, Aristocrat—s chief compliance officer (present by video), told the board the action will replace a temporary internal loan funding structure with a permanent equity issuance for Aristocrat Technology Gaming Systems Pty Ltd (ATGS) following its acquisition of AWager Ltd. She said the company expects to issue new shares to the parent (Aristocrat Leisure Limited) under administrative chair approval once the board grants the expanded registration.
Elkerton also updated the board on Aristocrat—s integration of the Neo Group, noting that leadership, governance and core systems have been harmonized and that product, regulatory and licensing teams were integrated early in the program. She said remaining work focuses on longer‑term system migrations and commercial optimization through 2026.
Board staff told members they had reviewed Draft #17 of the revised registration and found the revisions appropriate. Following discussion, the board voted to recommend approval of the revised order of registration and to allow the administrative transfer mechanism to be used for the listed subsidiaries, subject to the terms recorded in the draft order.
Board members praised the expanded compliance resources Aristocrat provided and noted that Aristocrat had briefed the board earlier in the year on the Neo acquisition. The motion to recommend approval passed with unanimous board support.
