Ocean Pines bylaws committee forwards corrected bylaws draft to board for first reading

The Ocean Pines Bylaws & Resolutions Advisory Committee voted Oct. 18 to forward a corrected redline of bylaws language to the board liaison for legal review and placement on the board agenda for a first reading. Chair Laura Van Bratz led the review of highlighted edits and asked the committee to standardize wording where the term “secretary” appeared inconsistently across the application, bylaws and attached resolutions.

The committee reviewed points where documents variously used “association secretary,” “board secretary” and “OPA assistant secretary,” and members agreed to pick the term consistent with the bylaws and make the wording uniform across attachments. After the group confirmed two final corrections, a motion to submit the updated package to the board liaison and counsel for a first reading passed on a voice vote; no members voiced opposition.

The motion directs the board liaison to circulate a cover sheet with the corrected draft to directors and legal counsel and to request a first-reading placement on the board agenda. Committee members said any further changes recommended by legal would be addressed at that time. Chair Van Bratz said she will distribute the Word version of the corrected draft to committee members before the next meeting.

Background: the committee noted that at the September directors’ meeting the board completed a second reading to remove the racket-sports advisory committee and rescind Resolution C14; the bylaws committee will reflect that change in the governance tracker. The bylaws committee also emphasized that draft wording submitted for board consideration will go to legal counsel for review before any board vote.

The committee adjourned after confirming the liaison will forward the package and after scheduling follow-up work to ensure the redline is consistent and supported by counsel.
