Canton council approves filing articles to form a community land trust, defers bylaws and board appointments

Canton 94 The City Council voted to approve filing articles of incorporation to create the Canton Community Land Trust and to begin the incorporation process, while deferring final approval of bylaws and decisions about initial board appointments.

City attorney (Mr. Patton) told council staff and the attorney—s office prepared articles and bylaws after prior council direction. The proposed articles would create a land trust intended in part to support affordable housing and land-conservation objectives. Patton said the initial draft called for a three-member board with three-year terms and a process for adding directors in groups of three.

Council members expressed differing preferences about governance. Some members preferred an initial three-person board to move quickly; others favored a seven-member board with staggered terms or wanted council involvement in selecting directors. Council members asked for clearer vetting criteria and asked staff to provide candidate recommendations and sample board compositions used by other land trusts.

After discussion, the council moved, seconded and voted to approve filing the proposed articles of incorporation while postponing final action on bylaws and director appointments. The council agreed to revisit the bylaws and appointments at the next meeting in two weeks and asked staff and the city attorney to solicit input from council members; Mr. Patton said he would email members seeking their preferences.
