Bentonville board approves five-year energy-management deal that promises shared savings

The board voted to enter a five-year energy-management contract with Synergistix (a rebranded Energy Education) after a presentation from Dr. Schwanhauser. The proposal would provide on-site energy specialists plus software to monitor lighting, HVAC and ventilation for real-time energy data and operational recommendations. Dr. Schwanhauser said the district intentionally excluded temperature-setpoint changes and behavioral-engagement work in the RFP and asked vendors to focus on optimizing existing infrastructure.

Staff summarized the commercial terms: Synergistix projected $4.5 million in net utility savings over five years and proposed a savings-share model so the vendor receives a portion of measured savings rather than a fixed-fee based solely on projected savings. Dr. Schwanhauser explained the contract ties payments to measured savings with an upper monthly payment cap described in the contract text; when board members questioned the cap language he said the details are in the measurement-and-verification plan. "If they save us 50,000, I'll pay them 25," he said, describing the district's split on measured savings, and added that a cap limits total monthly vendor payment.

Board members asked about contract length (five years), termination clauses (termination for cause or convenience with a contract recovery fee equal to three times the average monthly fee in some early windows), how savings are measured (12-month baseline/measurement conventions) and whether payments are made after savings are realized (payments not made in advance). Staff said preliminary results will be available and that they expect preliminary numbers to be presented with the September budget. The board approved the contract vote as presented.

Because the contract ties payment to measured savings, final district payments will depend on the measurement-and-verification plan and the baseline calculation in the executed contract.
