Glocester conditionally authorizes Paychex payroll onboarding pending solicitor review

Glocester councilors reviewed a proposed service contract with Paychex Incorporated to provide payroll services for the town and the school department. A councilor raised three points he described as non-negotiable: removal of California governing-law language, evidence of a bond covering client funds, and clarity about dispute-resolution terms (arbitration vs. litigation). Council discussion also referenced a monthly $816 flex/benefit item that could create an early-termination obligation.

The finance director told council she has vetted Paychex with other municipalities and recommended the vendor to address payroll issues. Because the contract is time sensitive, councilors agreed not to delay implementation but sought a conditional authorization. The council voted to authorize the town council president to sign the Paychex service agreement and related documents—reporting-agent and state-authorizations—provided the solicitor and finance director confirm the requested clarifications and removal of out-of-state governing-law clauses.

Councilors instructed the solicitor to confirm removal of California law and to obtain proof of bond and requested the finance director complete final vetting. The authorization does not become final until those confirmations are received.
