Committee weighs electronic participation and proxy voting limits after COVID era

The committee revisited electronic participation practices that were widely adopted during the COVID pandemic. The staff presentation highlighted three main concerns with electronic participation: connectivity, confidentiality and executive‑session security.

Kenny summarized commonly used language among boards: in‑person voting by hand or voice and no proxy voting for board meetings. He said some boards permit limited electronic participation under narrowly defined circumstances but cautioned the committee about possible security and confidentiality risks. "There are also issues ... the issues of confidentiality, in reference to who's on the other end, who has access," he said.

Board members discussed practicalities: several said they prefer in‑person presence for votes and worry that permissive electronic rules could become overused. The committee asked staff to prepare unambiguous policy language clarifying that proxies are allowed for committee meetings only (if that remains the practice) and that board‑level proxy voting will not be permitted; staff was asked to provide suggested wording for the December 11 meeting and to include items on December 19 if the committee wishes to vote on them then.
