The Norwalk Public Library Board of Directors voted to approve a memorandum of understanding (MOU) that formalizes the relationship between the library board and the library foundation to operate a library bookstore.
Alex Knopf explained that after consulting with the city law department the MOU was revised so the agreement would be directly between the board and the foundation — removing the city as a contracting party while acknowledging the overlapping membership of the two bodies. Under the MOU the foundation would financially manage proceeds and expenses associated with providing free books and selling books, cover any deficit between sales and expenses, jointly select a contractor to run bookstore operations, and authorize Cheryl to supervise the contractor’s work on behalf of the library.
Board members discussed setup details, including establishing a separate account for bookstore funds (Janie Williams confirmed the account had already been created and donations deposited). Alex moved approval of the MOU and a board member seconded; the motion passed by voice vote. The board agreed to present the MOU at the foundation meeting for the foundation’s separate approval.
Next steps: foundation review and formal execution of the MOU; the board suggested forming a bookstore subcommittee to oversee early operations and contractor selection.
