Counsel (Speaker 5) outlined four proposed contract changes during a pre-approval review: a contractor preference for litigation instead of arbitration/mandated mediation (paragraph 5.1); reimbursement to the contractor for building permits, licenses and inspection costs (paragraph 9.61); deletion of a paragraph addressing royalties, patents and copyrights (paragraph 9.14); and language about owner responsibility for tests and inspections (paragraph 19.3). Speaker 5 said the only substantive concern was the litigation-versus-arbitration choice but noted the contractor is a well-regarded local firm and that counsel had not found a record of litigation by the firm.
"They would prefer litigation; we had asked for arbitration," Speaker 5 said, noting the change likely reflects the contractor27s in-house legal counsel rather than a history of litigation. Staff and counsel told the board they did not expect the litigation preference to become a problem in practice.
Board members discussed vetting completed by Jones & DeMille and counsel27s review; Speaker 1 said that, based on that due diligence, the contractor was considered reputable. Speaker 1 moved to approve the contract with the proposed changes and to bring ratification back to the next meeting; Speaker 3 offered and seconded the motion. The authority approved the motion by voice vote.
Staff noted next steps following approval: a bond closing discussed for late June and a planned mobilization by Hadfield Construction shortly thereafter. The board recorded that the authority would ratify the contract at the next scheduled meeting to ensure procedural formality.
The authority27s action permits Hadfield Construction to begin mobilization preparatory work pending administrative follow-up and ratification at the next MBA meeting.
