Martin's Additions committee flags ambiguity in election vendor contract, recommends clarifications next year

Members of the Martin's Additions Election Committee reviewed the municipality's contract with election vendor Electec and identified multiple areas they would like clarified in future contracts, including pricing for a runoff, timing and scope of corrective actions, and indemnity language.

During the review, Marty noted that in 2023 "the Electec staff temporarily misplaced some ballots," a point cited to explain why the committee pressed for clearer vendor obligations. Committee members said the latest contract includes improved language requiring replacement equipment or other corrective actions "for any additional elections that may be required as a result of malfunction or error," but they still found several clauses ambiguous.

Members worried the contract does not explicitly require timely corrective action or make the vendor clearly responsible for human error and incomplete results. Larry said the contract text was "gibberish" in places and flagged the absence of an explicit provision ensuring that election completion not be delayed by disputes over performance. Elizabeth said the revised clauses now "do have to provide replacement equipment or other corrective actions," but the committee agreed that stronger, clearer language should be sought in future procurements.

The committee also noted an indemnification clause under which Martin's Additions would "indemnify, hold harmless" the vendor for legal actions arising from the election — a common contractual provision but one that prompted questions about the village’s exposure. Members characterized remaining issues as contract-administration items to be pursued with staff and the council next year, since the contract is already signed for the current election.

Next steps: committee members will document the contract concerns for the council and recommend specific clarifications when the vendor contract is renegotiated next year.
