Board members raised a minor drafting question before the vote about inconsistent titles in the draft bylaws—some sections used the term “trustee” while others used “board member,” and one section varied in whether it named a vice chair or vice president. A trustee noted the inconsistency and counsel observed that the terms have the same legal effect under governing law.
The action establishes the authority’s internal rules and authorizes officers to act on its behalf going forward. Counsel thanked the board after the vote; the meeting proceeded to a separate agenda item on financing municipal projects.
