Township approves two-year IT services agreement with Mividia amid trustee questions over liability and costs

Trustees approved Resolution T2026-02-005R on Feb. 9 authorizing Supervisor Charlene Chenoweth to sign a two-year service agreement with Mividia, a Bloomington-based IT provider, to manage the township's information-technology needs.
Supervisor Chenoweth said the township conducted an RFP process with eight respondents and interviewed three finalists before recommending Mividia. The contract covers managed services for 25 seats, remote support, cloud backups, assistance with selecting HR and accounting software, and migration support from Google to Microsoft; Chenoweth said the vendor agreed to waive a setup fee as part of a shorter two-year term.
Trustee concerns: Trustees asked about vendor references, the nature of 24/7 on-call service and service-level response times, billing for after-hours emergency work, how backups would be managed if the township later changes vendors, cyber-insurance interactions, and the vendor's limit of liability (disclosed by trustees as equal to roughly one year of payments and cited by the supervisor as approximately $40,000).
Supervisor response: Chenoweth said Mividia told her they provide live on-call coverage (not voicemail), will perform remote work for most issues and can provide in-person service if required; she said Mividia will hold backups in a physical onsite server and in the cloud, and that the vendor would assist with migration and handoffs if the township switches providers. Chenoweth said the township has robust insurance and that she judged the vendor's liability cap acceptable in light of those protections.
Vote and next steps: Trustee Grace moved approval of a two-year amended contract; Trustee James seconded. The clerk called the roll and the resolution passed. Supervisor Chenoweth said staff will move forward with the onboarding and planned IT upgrades and will report back as projects progress.
