Shelter Foundation winding up; Allegany County to receive assets as commissioners weigh shelter model

Allegany County staff told commissioners the Shelter Foundation is winding up and its bylaws require any remaining assets to transfer to county government, a step the county must approve to assume vendor contracts and liability protections.

"Their bylaws specify assets have to be transferred to Allegany County government," Speaker 6 said, adding staff and the foundation's attorney have drafted an agreement to move assets and step into existing contracts. Speaker 6 said no final number is available but staff anticipate about $500,000 in assets.

Commissioners discussed operational options for the animal shelter. Speaker 5 asked whether the county is still considering creating a quasi-nonprofit to allow grant applications. Speaker 1 said the county could either absorb operations — which would require formal hires and classification changes — or pursue a hybrid model that keeps some functions in house and assigns other responsibilities to a nonprofit. Peers referenced Garrett County's approach, where county employees operate the shelter and a nonprofit (HEART) handles adoptions and excess-animal placement.

Commissioners emphasized the practical needs that influence the choice, including grant-writing capacity, online ticketing for fundraisers, staffing classifications, and clear guardrails for operations. Speaker 4 asked staff to research whether county employees could write grants or whether a nonprofit structure would be more advantageous for securing outside funding.

Next steps: staff said they will present a transfer proposal as an agenda item (noted as item e) and return with more detailed options after following up with Garrett County and consulting with the foundation's counsel.
