St. Bernard CIC approves sale of shopping-center property to Civitas Development

The St. Bernard Community Improvement Corporation voted on April 22 to approve a purchase-and-sale agreement with Civitas Development after recessing to an executive session to discuss the sale.
At the meeting, the treasurer reported the CIC's bank balance, saying, "The bank balance as of today is $176,243.52," and noted a smaller account with $5,328.87 that will be closed and the funds transferred to the primary account. Board members then discussed the demolition timeline for the shopping-center buildings. A board member said O'Rourke's operations team reviewed the plan and "they plan on starting in 2 weeks," but that O'Rourke had asked the CIC to confirm utility shutoffs before beginning preliminary work.
The board also reviewed the status of a tax-valuation appeal. Meredith, the board's retained attorney, said, "The appeal was submitted to the Hamilton County auditor. The appraisal is expected back, May ish." Meredith said the school board filed a counter-complaint seeking a $2,100,000 valuation while the CIC had applied for an appraisal in the range of about $500,000 to $600,000. She explained the county's board of revision procedure, saying each side will present its case and the board will set the final valuation; she also outlined that any change will affect tax bills for tax year 2025 (payable 2026).
During general discussion board members noted items remaining in the building: the historical society has identified filing cabinets to preserve and several other cabinets and large desks likely will not be moved; the board discussed offering salvageable items for pickup but expressed concern about liability and low market interest.
After the executive session, the chair returned the meeting to open session and put the purchase-and-sale agreement "on the table to approve the purchase and sale agreement as presented." Members signaled assent and the motion passed. The chair distributed a related-party and fraud questionnaire for completion by board members for auditors, set the next meeting for May 27 at 6 p.m., and adjourned the session.
The board did not provide a public transcript of the executive-session discussion; the formal action recorded at the meeting was the approval of the purchase-and-sale agreement with Civitas Development.
