Mansfield EDC adopts bylaws change requiring 80% attendance and aligns procurement threshold with state law

The Mansfield Economic Development Corporation board unanimously approved two bylaw amendments on Oct. 7: an 80% attendance requirement for board members and an update to the MEDC purchasing threshold to match state procurement rules.

Staff explained the attendance amendment reads that each board member must attend at least 80% of all regularly scheduled board meetings during a 12‑month period; staff and board clarified that called or special meetings are not counted toward that 80% calculation. "80% of 12 months ... 10," staff noted in discussion to illustrate the threshold (9.6 rounded to 10 meetings). The bylaw language calls for automatic removal from the board if a member fails to meet that attendance requirement, with city council appointing a replacement to serve the remainder of the term.

The second amendment raises the MEDC threshold so that purchases over $99,999 would require both MEDC and city council approval, aligning MEDC policy with Texas procurement laws that require city council consideration for contracts above $100,000. Staff said land‑related deals and incentive agreements would continue to come to the board regardless of value.

Board members asked clarifying questions about called meetings and impacts on members; staff confirmed called meetings are exempt and that EDC historically brings land or incentive items to the board regardless of threshold. The board then moved and approved both amendments unanimously.

Next steps: staff will reflect the adopted language in the bylaws and post or circulate the updated bylaws according to MEDC procedures.
