Exhibit 2 (the DCS Subscriber Agreement) describes the vendorcustomer relationship. Key contract terms in the agreement include: a choice of term commitments (12, 24 or 36 months) with a $150 early termination fee (ETF) per device if a device is removed before the committed term; after satisfying the minimum term the services continue month-to-month; standard data retention of 12 months with optional extended retention available for an additional charge; travel charges to installation sites for installs of fewer than 10 trackers; and a limitation of liability clause that caps monetary damages. The agreement also contains a binding arbitration clause with hearings in Montgomery, Alabama, and an indemnification provision in favor of the vendor.
The agreement sets out service-plan pricing mechanics and administrative terms, including invoice-based payments and a right for DCS to suspend services for nonpayment or other breaches. The signature block in Exhibit 2 shows Dan Floyd signing as "Managing Member" for Diversified Computer Services, LLC, and the chairman signing for Dale County Commission with dates in February 2026.
