Chair and board clash over minutes; July 15 entry left unapproved after heated exchange

The board approved the June 9 and June 11 minutes, but did not approve the June 22 or July 15 minutes. The row centered on a line in the July 15 minutes that addressed whether a threat of legal action had been made against the board. Powell said she disagreed with that portion of the minutes and would not offer an amendment to change it; as a result the minutes remained an unapproved draft on the board’s website.
The minutes record that Mr. Fane ‘‘was shouting and shaking his finger at the Secretary in a threatening manner’’ while the Secretary, Glenwood Foster, and Mrs. Daly discussed the process for amending minutes. Because the minutes were not amended or seconded by the chair, members did not take a vote to approve them at the Sept. 2 meeting.
The exchange drew extended attention during the meeting, delaying other business. The minutes show the heated portion of discussion began about 24 minutes and 30 seconds into the recording and continued until about 44 minutes and 11 seconds into the recording; meeting attendees described the interaction as ‘‘lengthy and heated.’’
The board proceeded with other agenda items after the dispute and approved several other prior minutes. There was no formal vote recorded in the meeting minutes to adopt the July 15 entry; the record lists it as unapproved and left for further review.
